FIRST – The products of the Valmont, Elixir des Glaciers and Storie Veneziane brands are of high quality and therefore require specific conditions of sale, as well as personalized advice and service for their customers. We attach great importance to the care and treatment of the product, as well as to the preservation of its image of quality, notoriety and luxury.
SECOND – In addition to the sale in a physical point of sale, the Supplier wishes to promote the sale of its products through the Internet by offering the Customer the possibility to sell them on its own multi-brand website in compliance with the points mentioned below.
The parties expressly agree to be governed by the following clauses and therefore to comply with the requirements listed in this document for the sale of Valmont, Elixir des Glaciers and Storie Veneziane brand products via Internet.
CLAUSES
FIRST. The following is required for the sale of the products of the above mentioned brands on Internet:
a. The websites must be intended for the sale of care and beauty products, and must be associated with an image of luxury and high quality.
b. Complete and detailed information of each product must be included on the website and without any changes to the information provided by the Supplier.
c. Only photos, logos and graphic material sent by the Supplier’s marketing team will be used. The Customer agrees not to use these elements for any purpose other than the promotion of the Supplier’s products.
d. There shall be no limitation of the product range or lack of new products.
e. The practice of any sales or advertising method that could devalue, harm, in any way, the prestige or image of Valmont, Elixir des Glaciers and Storie Veneziane is prohibited. Nor may they be discriminated against in relation to products of other competing brands or other products offered on their multi-brand website. The Customer agrees not to cross out the prices of the products of the above mentioned brands on their website.
f. The storage of the products must be done in adequate conditions for their good conservation.
g. Under no circumstances it is allowed to sell testers, booth products or any other type of collateral material.
h. The website must be equipped with a secure and up-to-date electronic payment system.
i. Products must be shipped in a safe and secure manner to ensure delivery of the order in perfect condition.
j. The domain name used must not be confusing to the Customer (because it’s similar to one of the brand names or Valmont Cosmetics official website “lamaisonvalmont.com”) or be associated with the “low cost” business.
k. The presentation of the products on the website must not be in alphabetical order only.
l. It is mandatory to accept the return of products under the conditions established by law.
m. The sale of products on your multi-brand website is subject to all obligations arising from the commercial conditions negotiated annually with your physical point of sale, as well as to our general sales conditions.
n. The website must comply with all regulations relating to e-commerce and personal data protection.
o. Selling on any type of third party platform such as E-bay, Amazon, Strawberry or any other similar platform is prohibited.
p. The sale of the products of the brands listed above to professionals is not allowed, but only to end customers.
SECOND. The domain name of the Customer’s website is requested:
Any action or practice by the Customer that does not comply with any of the clauses stipulated in this contract and that harms or may harm the image of the above-mentioned brands will result in the termination of the business relationship with the Customer.
PRÉAMBULE
PREMIEREMENT – Les produits des marques Valmont, Elixir des Glaciers et Storie Veneziane sont de grande qualité et nécessitent donc des conditions de vente spécifiques, ainsi que des conseils et un service personnalisé pour leurs clients. Nous attachons une grande importance au soin et au traitement du produit, ainsi qu’à la préservation de son image de qualité, de notoriété et de luxe.
DEUXIÈMEMENT – Parallèlement à la vente dans un point de vente physique, le Fournisseur souhaite favoriser la vente de ses produits par le biais d’Internet en offrant la possibilité au Client de les vendre sur son propre site web multimarque en respectant les points mentionnés ci-dessous.
Les parties acceptent expressément d’être régies par les clauses suivantes et donc le respect des exigences énumérées dans le présent document pour la vente par internet des produits des marques Valmont, Elixir des Glaciers et Storie Veneziane.
CLAUSES
PREMIÈREMENT. Ce qui suit est demandé pour la vente des produits des marques susmentionnées sur Internet :
a. Les sites web doivent être destinées à la vente de produits de soins et de beauté, et doivent être associées à une image de luxe et de haute qualité.
b. Les informations complètes et détaillées de chaque produit doivent figurer sur le site web et sans aucune modification par rapport aux informations fournies par le Fournisseur.
c. Seules les photos, logos et matériel graphique envoyés par l’équipe de marketing du Fournisseur seront utilisés. Le Client s’engage à ne pas utiliser ces éléments à d’autres fins que la promotion des produits du Fournisseur.
d. Il ne doit pas y avoir aucune limitation de la gamme de produits ni aucun manque de nouveautés.
e. La pratique de toute méthode de vente ou de publicité qui pourrait dévaloriser, nuire, de quelque manière que ce soit, au prestige ou à l’image du Valmont, de l’Elixir des Glaciers et de Storie Veneziane est interdite. Ils ne peuvent pas non plus faire l’objet d’une mesure discriminatoire par rapport aux produits d’autres marques concurrentes ou à d’autres produits proposés sur leur site web multimarque. Le Client s’engage à ne pas barrer les prix des produits des marques mentionnées ci-dessus sur son site web.
f. Le stockage des produits doit se faire dans des conditions adéquates pour leur bonne conversation.
g. Il n’est en aucun cas autorisé de vendre des testeurs, des produits cabine ou tout autre type de matériel collatéral.
h. Le site web doit être équipé d’un système de paiement électronique sécurisé et actualisé.
i. L’expédition des produits doit se faire dans des conditions de sécurité et de conservation suffisantes pour assurer la livraison de la commande en parfait état.
j. Le nom de domaine utilisé ne doit pas créer de confusion chez le Client (parce qu’il ressemble aux marques ou à son propre site web « lamaisonvalmont.com « ) ni être associé au commerce « Low Cost »
k. La présentation des produits sur le site web ne doit pas se faire uniquement par ordre alphabétique.
l. Il est obligatoire d’accepter le retour des produits dans les conditions établies par la loi.
m. La vente des produits sur votre site Internet multimarque est soumise à toutes les obligations découlant des conditions commerciales négociées annuellement avec votre point de vente physique, ainsi qu’à nos conditions générales de vente.
n. Le site web doit respecter toutes les réglementations relatives au commerce électronique et à la protection des données personnelles.
o. La vente sur tout type de plateforme de tiers est strictement interdite.
p. La vente des produits des marques énumérées ci-dessus à des professionnels n’est pas autorisé, mais uniquement à des clients finaux.
DEUXIÈMEMENT. Le nom du domaine du site web du Client est demandé :
Toute action ou pratique du Client qui ne respecterais pas une des clauses stipulées dans le présent contrat et qui nuirait ou pourrais nuire à l’image des marques susmentionnés entraînerait la rupture de la relation commerciale avec le Client.
Et, comme preuve de conformité et d’acceptation de tout ce qui est établi, les deux parties signent au lieu et à la date indiquée dans l’en tête, en deux exemplaires en langue française.
CLÁUSULAS
PRIMERO. – Para la venta por internet de los productos de las marcas enunciadas previamente se solicita lo siguiente:
a. Las páginas web deben estar destinadas a la venta de productos de cuidado y belleza, y deben estar asociadas a una imagen de lujo y alta calidad.
b. Debe de aparecer en la página web la información completa y detallada de cada producto y sin ningún cambio respecto a la información proveída por el Proveedor.
c. Se utilizarán únicamente las fotos, logos y materiales gráficos enviadas por el equipo de marketing del Proveedor. El cliente se compromete a no utilizar estos elementos para otros fines que no fuesen la promoción de los productos del Proveedor.
d. No debe existir una limitación de la gama de productos o la falta de novedades.
e. Se prohíbe la práctica de cualquier método de venta o publicidad que pudiesen desvalorizar, devaluar o perjudicar, de cualquier modo, el prestigio o la imagen de Valmont, Elixir des Glaciers y Storie Veneziane. Tampoco podrán ser objeto de ninguna medida discriminatoria con relación a los productos de otras marcas de la competencia o bien respecto a otros productos ofrecidos en su sitio web multi-marca. El cliente se compromete a no tachar los precios de los productos de las marcas enumeradas previamente en su página web.
f. El almacenamiento de los productos debe de hacerse en las condiciones adecuadas para su buena conservación.
g. No se permite en ningún caso la venta de productos tester, de cabina o cualquier otro tipo de material colateral.
h. La página web debe de estar dotada de un sistema de pago electrónico seguro y actualizado.
i. La expedición de los productos debe de hacerse con las condiciones de seguridad y conservación suficientes para asegurar la entrega del pedido en perfecto estado.
j. El nombre de dominio utilizado no debe ni confundir al cliente (por asemejarse a las marcas o a su propia página web “lamaisonvalmont.com”) ni asociarse al comercio “low cost”.
k. La presentación en la página web de los productos no ha de realizarse por criterios únicamente alfabéticos.
l. Es obligatorio la admisión de la devolución de productos en los términos establecidos por la ley.
m. La venta de los productos en su sitio web multi-marca está sujeta al conjunto de las obligaciones que se derivan de las condiciones comerciales negociadas anualmente con su punto de venta físico, así como nuestras condiciones generales de venta.
n. La página web deberá respetar toda la normativa sobre e-commerce y protección de datos.
o. Se prohíbe la venta en cualquier tipo de plataforma de terceros como por ejemplo e-bay, amazon, strawberry o cualquier otra semejante.
p. No se permite la venta de los productos de las marcas enumeradas previamente a profesionales, únicamente a clientes finales.
SEGUNDO. –
Cualquier acción o práctica del cliente que incumpla alguna de las cláusulas estipuladas en este acuerdo que perjudiquen o que puedan perjudicar la imagen de la marca, supondrá la finalización de la relación comercial con el cliente.
PREMESSO CHE
a) I prodotti con marchio Valmont, L’Elixir des Glaciers e Storie Veneziane distribuiti dal Fornitore sono di alta qualità e richiedono quindi condizioni di vendita specifiche, cherichiedono servizi e consulenze personalizzate, con i finde di conservare l’immagine di qualità, notorietà e il posizionamento sul mercato luxury.
b) Parallelamente alla vendita presso punti vendita tradizionali il Fornitore è intenzionato a concedere al cliente la possibilità di vendere i prodotti tramite Internet sul proprio sito web multimarca nel rispetto delle disposizioni seguenti.
Tutto ciò premesso,
Si conviene e stipula quanto segue,
1. La vendita dei prodotti deve essere realizzata in base alle seguenti disposizioni:
a. Il sito web deve essere destinato alla promozione del locale in cui si svolge l’attività di vendita dei prodotti del Fornitore e alla sua immagine nonchè alla vendita di prodotti cosmetici, di bellezza e di cura della persona o profumi e deve essere associato ad un’immagine di lusso, esclusività e alta qualità delle materie prime utilizzate per la realizzazione dei prodotti.
b. Le informazioni descrittive relative ad ogni prodotto verranno fornite da parte del Fornitore e non potranno essere modificate da parte del Cliente.
c. Il Cliente puó utilizzare solo foto, loghi e materiali grafici ricevuti in modo ufficiale e diretto da parte del Fornitore. Questi elementi grafici non protrano essere utilizzati per scopi diversi dalla promozione della vendita dei prodotti del Fornitore.
d. Il cliente è obbligato a garantire la completezza delle linee di vendita dei prodotti e la lora disponibilità.
e.È vietata la pratica di qualsiasi metodo di vendita o pubblicità che possa ledere o danneggiare, in qualsiasi modo, il prestigio o l’immagine
delle marche Valmont, L’Elixir des Glaciers e Storie Veneziane. I prodotti del Fornitore non possono essere soggetti ad alcuna misura discriminatoria rispetto ai prodotti di altri marchi concorrenti o comunque ad altri prodotti offerti sul loro sito web multimarca del Cliente.ll Fornitore vieta al Cliente di barrare, nascondere, sopprimere o occultare i prezzi dei prodotti dei marchi sopra elencati con lo scopo di concedere riduzioni o sconti agli acquirenti potenziali.
f. La conservazione dei prodotti deve essere effettuata in maniera tale da garantire l’inalterabilità dello stato dei prodotti e del loro involucro.
g. Non è consentito al Cliente in nessun caso vendere prodotti tester, prodotti per trattamenti estetici o qualsiasi altro tipo di materiale collaterale ricevuto gratuitamente da parte del Fornitore.
h. Il sito web del Cliente deve essere dotato di un sistema di pagamento elettronico sicuro.
i. La spedizione dei prodotti da parte del Cliente ai clienti finali deve avvenire con condizioni tali da garantire la consegna dell’ordine in perfette condizioni.
j. Il nome dominio utilizzato dal sitoweb del Cliente non deve confondere l’aquirente potenziale e non potrà indicare il nome di uno o piú dei marchi distribuiti né essere associato e associabile al commercio “a basso costo”.
k. La presentazione dei prodotti sul sito web del Cliente dovrà consentire all’acquirente potenziale piú criteri di ricerca dei prodotti.
l. Il Cliente è obbligato a gestire la restituzione dei prodotti da parte degli acquirenti nei termini di legge.
m. La vendita di prodotti sul sito web multimarca del Cliente è soggetta a tutti gli obblighi derivanti dalle condizioni commerciali negoziate annualmente con il cliente per il punto vendita fisico, nonché alle condizioni generali di vendita previste dal Fornitore.
n. Il sito web del Cliente deve rispettare tutte le regole e le norme previste per il commercio elettronico e la protezione dei dati personali.
o. È vietata la vendita di prodotti tramite qualsiasi tipo di piattaforma di terzi o Marketplace (come per esempio E-bay, Amazon, Strawberry) o qualsiasi altra piattaforma affine.
p. I prodotti dei marchi sopra elencati non possono essere venduti ai professionisti solo ai clienti finali.
